Terms of Service

Last updated: 18 May 2026

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Structera ("Structera", "we", "us", or "our"), the operator of structera.co.uk and the Structera procurement spend classification platform (the "Service"). By creating an account or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy and Cookie Policy.

If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation. "You" then means that organisation. If you do not have such authority, or if you do not agree to these Terms, you must not use the Service.

1. The Service

Structera is a web-based platform that uses AI to (i) generate a three-level procurement taxonomy from transaction data you upload, (ii) classify each transaction against that taxonomy, (iii) provide a human-in-the-loop review interface, and (iv) export the results to Excel. Specific features, limits, and pricing may change from time to time.

2. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must provide accurate, current, and complete information when registering and keep it up to date.
  • You are responsible for all activity that occurs under your account. Keep your password confidential and notify us immediately at [email protected] if you suspect any unauthorised use.

3. Accounts and access

You access the Service via an account secured by an email address and password. Authentication uses bcrypt-hashed passwords and short-lived JSON Web Tokens with idle timeout. You agree not to share your account credentials or use another user's account without their explicit permission.

We may suspend or terminate accounts that, in our reasonable judgement, violate these Terms — including but not limited to Section 4 (Acceptable Use).

4. Acceptable use

You agree NOT to:

  • Use the Service for any unlawful purpose, or in violation of any applicable export-control, sanctions, anti-corruption, or tax law.
  • Upload data you do not have a lawful basis to share with us (see also Section 7).
  • Upload data containing malware, viruses, or any other code designed to disrupt or damage software, hardware, or networks.
  • Attempt to probe, scan, or test the vulnerability of the Service, or to circumvent any authentication, billing, or rate-limiting mechanism, without our prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service except to the extent that applicable law expressly permits despite this limitation.
  • Use the Service to develop, train, or benchmark a competing product.
  • Resell, sublicense, or otherwise commercialise the Service or its outputs without our prior written consent (this does not restrict your right to use classification results within your own organisation).
  • Send spam, phishing, or unsolicited communications via the Service.
  • Use the Service to upload, classify, or store data that contains special categories of personal data (Article 9 UK / EU GDPR), criminal-conviction data, payment card numbers, government-issued identifiers, or medical records, unless we have agreed in writing to a Data Processing Agreement that specifically covers such data.

5. Pricing, payment, and refunds

5.1 Free sample

You can classify a statistically valid sample of your dataset free of charge. No payment information is required to generate a taxonomy or classify a sample.

5.2 Paid full-dataset classification

Applying classifications to your full dataset is paid. Pricing is pay-as-you-go and displayed on the Service before you commit to any charge. Pricing as of the "Last updated" date of these Terms starts at a minimum of GBP 25 per dataset. Updated pricing is always shown on the pricing section of the home page.

5.3 Payment processing

Payments are processed by Stripe Payments Europe, Ltd. Card and bank details are entered directly into Stripe's payment forms; we never receive or store them. Your payment is governed by Stripe's own terms and privacy policy in addition to these Terms.

5.4 Refunds and cancellation

Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the EU Consumer Rights Directive 2011/83/EU, consumers in the UK and EU may have a 14-day right to cancel digital services. By starting to apply classifications to your full dataset (which triggers paid consumption), you expressly request immediate performance of the service and acknowledge that, once the classification has been delivered, you lose the right to cancel under those regulations.

We may, at our sole discretion, refund a charge that resulted from a service outage attributable to us. Refund requests should be sent to [email protected] within 30 days of the charge.

5.5 Taxes

Prices are exclusive of VAT and any other applicable taxes, which will be added at the rate in force at the time of supply. For business customers outside the UK, you may be responsible for self-accounting for VAT under the reverse-charge mechanism.

6. Customer data and ownership

6.1 You own your data

As between you and Structera, you retain all right, title, and interest in the transaction data you upload to the Service and in any classifications, taxonomies, or exports derived from it ("Customer Data"). We claim no ownership over Customer Data.

6.2 Licence to operate

You grant Structera a non-exclusive, worldwide, royalty-free licence to host, process, copy, transmit, and display Customer Data solely to provide and improve the Service for you, to comply with law, and to enforce these Terms. This licence ends when you delete the Customer Data or close your account, except to the extent that we are legally required to retain backups or records for a longer period.

6.3 Personal data and processor obligations

Where Customer Data includes personal data, you are the data controller and Structera is the data processor (or, in some cases, a separate controller). The processing is governed by Article 28 of the UK / EU GDPR. Until a separate Data Processing Agreement is signed between us, the data-processing terms set out in our Privacy Policy apply. By using the Service you instruct us to process Customer Data through the sub-processors listed in the Privacy Policy.

6.4 Aggregated, anonymised data

We may generate aggregated and anonymised statistics from your use of the Service (for example, average dataset size or classification accuracy benchmarks) and use those statistics for internal analytics, product improvement, and reporting, provided no individual or organisation can be identified.

7. Your warranties

You warrant that:

  • You have all rights and authorisations necessary to upload Customer Data to the Service and have it processed for the purposes described.
  • The Customer Data does not infringe any third party's intellectual property, privacy, or other rights.
  • You will comply with all laws applicable to your use of the Service, including data-protection, export-control, and sanctions laws.

8. AI output disclaimer

Structera uses large language models supplied by Anthropic, PBC. AI output is probabilistic and may occasionally be inaccurate, incomplete, or inappropriate for your specific context. You are responsible for reviewing classifications before relying on them for any business, financial, regulatory, or other purpose. The Service provides a human-in-the-loop review interface specifically to facilitate this review.

9. Service availability

We aim for high availability but do not currently offer a contractual uptime guarantee. We may schedule maintenance, deploy updates, or experience unscheduled outages that temporarily affect availability. We will make reasonable efforts to communicate planned maintenance in advance.

10. Intellectual property

Excluding Customer Data, all intellectual property in the Service — including software, design, trademarks, and documentation — is owned by Structera or its licensors. Subject to your compliance with these Terms, you receive a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

11. Confidentiality

Each party will treat the other's non-public information learned through the Service as confidential, use it only to perform under these Terms, and protect it with at least the same care it uses for its own confidential information of like importance (and never less than reasonable care). This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it without confidentiality obligations, or is independently developed.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI output. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Limitation of liability

Subject to Section 12, and to the maximum extent permitted by law:

  • Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms.
  • Each party's aggregate liability arising out of or in connection with these Terms in any 12-month period will not exceed the greater of (a) the total fees paid by you to Structera in that 12-month period, or (b) GBP 100.

Consumer customers in the UK / EU retain any statutory rights that cannot be excluded by contract.

14. Indemnification

You agree to indemnify and hold harmless Structera, its officers, employees, and contractors from any third-party claim arising out of your breach of these Terms or your unlawful use of the Service, including reasonable legal fees.

15. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms or use the Service in a way that risks harm to us, to other users, or to third parties. Provisions that by their nature should survive termination (e.g. Sections 6, 7, 10, 11, 12, 13, 14, 17, 18) survive.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of the page indicates when they were last revised. Where the change is material, we will give registered account holders at least 14 days' notice by email or via an in-app banner before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the new Terms.

17. Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute, except that consumer customers may bring proceedings in the courts of their country of residence where applicable mandatory law so allows.

18. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any order form or DPA signed between us, are the entire agreement between you and Structera about the Service and supersede any prior discussions.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
  • No waiver. Our failure to enforce a right is not a waiver of that right.
  • Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
  • Notices. Notices to Structera should be sent to [email protected]. Notices to you may be sent to the email address on your account or shown in-app.

19. Contact
